What Is a UAE Offshore Company?
A UAE offshore company is an International Business Company (IBC) registered inside the Emirates but trading outside them. It does not lease physical premises, does not employ staff and grants no residence visa to its owners. In exchange, both setup and running costs sit well below a free zone or mainland structure.
Three registries handle offshore incorporation: JAFZA Offshore, attached to the Jebel Ali Free Zone; RAK ICC, the international registry of Ras Al Khaimah; and Ajman Offshore, run by the Ajman Free Zone. None of them accepts direct applications. Every incorporation must go through a licensed registered agent, who also provides the company’s official address.

Advantages and Limits of an Offshore Company
The appeal of the structure is its simplicity and low cost, but it does not answer every need. Both columns below deserve equal weight before you commit.

All three offer the same core structure. They diverge on prestige, cost, remote incorporation and property rights.

JAFZA Offshore (Dubai)
Created in 2003 under the Jebel Ali Free Zone Authority, JAFZA Offshore carries a Dubai address and therefore the strongest perception among international counterparties. Its defining feature is the ability to hold freehold property in Dubai, subject to Dubai Land Department approval and a no-objection certificate. In return, the registry asks for at least two directors plus a company secretary, and part of the signing process is completed at JAFZA itself, which narrows the remote-incorporation option compared with the other two.
RAK ICC Offshore (Ras Al Khaimah)
RAK ICC was formed in 2016 by merging the RAK International Companies and RAK Offshore registries, and it is now the most widely used offshore registry in the Emirates. A single director and single shareholder are enough, corporate shareholders are accepted, and the whole process can run remotely. Its other strength is transparency: RAK ICC publishes a public fee schedule every year, so the official cost can be calculated in advance rather than estimated.
Ajman Offshore
Launched by the Ajman Free Zone in 2014, Ajman Offshore is the cheapest entry point and registration usually completes within two to three working days. It handles holding structures, family assets and straightforward international trade perfectly well. Recognition among international banks and larger corporate counterparties, however, is weaker than JAFZA or RAK ICC, and that gap shows up during account opening.
Offshore Company Cost and Official Fees
Cost has two components: the official registry fee and the registered agent’s service fee. Because the second varies by provider, comparing jurisdictions on official fees gives a far more reliable picture.

RAK ICC figures come from the registry’s official 2026 fee schedule. JAFZA and Ajman amounts are market indications and should be confirmed with the relevant authority at the time of application. Registered agent service fees are not included.
Offshore Companies and UAE Corporate Tax
Contrary to a widespread assumption, a UAE offshore company is not a tax-exempt vehicle. Corporate tax, introduced by Federal Decree-Law No. 47, applies to financial years starting on or after 1 June 2023:
- Taxable income up to AED 375,000: 0%
- Taxable income above AED 375,000: 9%
- Multinational groups with consolidated revenue above EUR 750 million: a 15% Domestic Minimum Top-up Tax from 1 January 2025
Does an Offshore Company Have to Register for Corporate Tax?
Yes. Offshore companies are legal persons incorporated in the UAE, which places them within scope. They must register with the Federal Tax Authority, obtain a tax registration number and file an annual return even when the outcome is nil. The Qualifying Free Zone Person status that unlocks the 0% rate for free zone entities is rarely achievable for an offshore IBC, because the adequate-substance test is difficult to satisfy without a physical presence; the full conditions are set out in our guide to Qualifying Free Zone Person (QFZP) requirements.
Are Economic Substance Filings Still Required?
No. Following Cabinet Decision No. 98 of 2024, announced by the UAE Ministry of Finance, the Economic Substance Regulations no longer apply to financial years ending after 31 December 2022. No ESR notification or report is due for 2023 onward. Obligations, information requests and penalties relating to earlier periods remain in force. A large share of the material circulating online has not been updated for this change, so planning on the basis of older articles is a real risk.

A UAE structure does not switch off the tax rules where you live. Most jurisdictions operate controlled foreign company legislation that attributes the profits of a low-taxed foreign entity to its resident owner, typically where ownership exceeds 50%, passive income dominates and the effective tax rate falls below a set threshold. Place-of-effective-management rules can also make the company tax resident in your home country if it is genuinely run from there. Both points should be reviewed with a local adviser before incorporation.
Step-by-Step Offshore Setup Process
Choose the jurisdiction
JAFZA, RAK ICC or Ajman, based on purpose, budget and property plans.
Reserve the name
The registry holds the company name; restricted words need extra approval.
Prepare documents
Passports, proof of address, references and draft constitutional documents.
File for registration
The registered agent submits the application and settles the official fees.
Receive corporate documents
Certificate of incorporation, MOA/AOA and share certificate; UBO register filed.
Tax registration and banking
Register with the FTA, then open the corporate bank account.

Buying Property in Dubai Through an Offshore Company
Holding real estate is one of the most common reasons founders ask about these structures. JAFZA Offshore companies may acquire property in Dubai’s freehold areas with Dubai Land Department approval and a no-objection certificate issued by JAFZA. RAK ICC companies have a comparable route in designated approved areas, although the list and the procedure are revised periodically. For Ajman Offshore the right is more restricted.
Holding property in a company simplifies succession planning and allows ownership to move by share transfer rather than by re-registering the asset. Set against that are developer approval, restrictions on mortgage financing and the additional NOC costs. Confirm that the specific project accepts corporate ownership before you commit.
Corporate Bank Account for an Offshore Company
Banking is usually the slowest stage. Because an offshore company has no physical footprint in the UAE, banks apply deeper scrutiny. What moves an application forward:
- A precisely defined activity and a realistic business plan
- Documented source of funds, such as a sale agreement, shareholding record or tax return
- Contracts with existing or prospective customers and suppliers
- A clean compliance history for every beneficial owner
- The bank’s minimum balance planned for from the outset

Who It Suits and Who It Does Not
The structure works for exporters trading between third countries, holding companies consolidating subsidiaries across several jurisdictions, businesses centralising trademarks and software licences, and investors organising family assets. International e-commerce and consultancy fit the same pattern.

Six Common Mistakes When Setting Up an Offshore Company
- Confusing offshore with free zone. Founders expecting a visa often have to start the whole process again.
- Underestimating the bank stage. Without an account the company cannot operate; prepare the file in parallel with incorporation.
- Skipping corporate tax registration. Registration and filing apply even when the tax due is zero.
- Relying on outdated sources. Withdrawn obligations such as ESR are still presented as current in many articles.
- Neglecting the UBO register. Changes must be reported within 15 days of becoming aware of them.
- Missing the renewal date. Late renewal brings penalties and, ultimately, strike-off risk.
