What Types of Companies Can Be Formed in Belize?
Belize law offers four distinct vehicles. The right choice depends on the nature of the activity, the number of participants and, just as importantly, on what banks will accept.
Belize Company (BC) – Formerly the IBC
This is the structure most foreign investors use. The company is a separate legal person, shareholder liability is limited to the value of the shares subscribed, and the company survives changes of ownership. One shareholder and one director are enough, and the director does not need to live in Belize.
International Limited Liability Company (ILLC)

What the Belize Companies Act 2022 Changed
The former International Business Companies Act was repealed and every company type now sits under the 2022 Companies Act. The label “IBC” is still used commercially, but new registrations appear in official records as a Belize Company. The practical consequences:
- Fully online filing: incorporation, annual returns and change notifications are submitted through OBRS.
- Registered agent is mandatory: founders who are not Belizean cannot access OBRS directly and must file through a licensed registered agent.
- Re-registration: companies incorporated before 28 November 2022 must re-register in OBRS before they can file an annual return.
- Bookkeeping discipline: accounting records and underlying documents must be kept for at least five years.
- Annual return and UBO updates: the registry tracks annual returns together with beneficial ownership updates.
- Substance test: activities within the scope of the Economic Substance Act 2019 may require genuine management and staff in Belize.
- International standing: Belize was removed from the EU list of non-cooperative tax jurisdictions (Annex I) on 20 February 2024.
For anyone hoping to stay off the record this is bad news. For businesses that operate transparently and need a working bank account and payment stack, it is an advantage: a compliant Belize company opens accounts far more easily than it did a decade ago.
Belize Company Formation Process: Step by Step
When the file is complete, registration can be finished within a few working days. What usually extends the timetable is not the registry but the verification of identity and address documents, and the bank’s own review.
- Name check and reservation: the proposed name is checked against the register in OBRS and can be reserved for a short period.
- Appointing a registered agent: non-Belizean founders file through a licensed registered agent, who also provides the registered office address.
- Collecting documents: passports, proof of address and, where required, reference letters for shareholders and directors.
- Drafting constitutional documents: the Memorandum and Articles of Association are prepared.
- OBRS filing and fee payment: the application is uploaded and the official fee is settled through the payment order issued by the system.
- Certificate of Incorporation: once approved, the certificate is issued electronically and the corporate registers are opened.
- Bank or payment institution application: the account application follows incorporation; several options can be pursued in parallel.

If fees go unpaid the company first loses its good standing and can eventually be struck off the register. Restoring a struck company costs both money and time, so the anniversary date belongs in your compliance calendar.
Belize Tax System: Business Tax, Withholding and GST
Instead of a classic corporate income tax on profits, Belize levies business tax on gross receipts. Companies with taxable activity must obtain a Tax Identification Number (TIN), file the business tax return and keep accurate accounting records.

How foreign-source income is treated depends on tax residency and the substance test. The familiar claim that “a Belize company pays no tax anywhere” has not held since 2019: taxation follows where management and real activity actually sit.
Economic Substance Rules and the Tax Exemption Certificate
The Economic Substance Act 2019 treats certain activities as “included”: banking, insurance, fund management, financing and leasing, headquarters services, distribution and service centres, shipping, holding activity and intellectual property management. Included entities are expected to demonstrate genuine management, adequate staff and expenditure in Belize.
Companies whose activity falls outside that scope and which are tax resident in another jurisdiction may request a Certificate of Tax Exemption (CTE) from the Financial Services Commission. The application requires evidence of non-included status together with the annual declaration published for companies without economic substance.
In practice this choice is the backbone of the structure. Running an included activity without substance puts both the tax position and the banking relationship at risk.

Incorporation is only half the job. For most offshore structures the real threshold is opening the corporate account and keeping payments flowing.

International banks in Belize do open corporate accounts, but review times can be long and minimum balance expectations high. Company Name, Shareholder and Director Requirements
Two constraints govern the name: it cannot be confusingly similar to an existing registered company, and it must carry a suffix showing limited liability (Limited, Corporation, Incorporated, or the abbreviations Ltd., Corp., Inc.). Words suggesting regulated activity such as “Bank”, “Insurance” or “Trust” may not be used without additional authorisation.
Ownership rules are flexible: one shareholder and one director suffice, the same person may hold both roles, directors need not reside in Belize and corporate directors are permitted. Nominee shareholder and director services are available, but they do not remove the duty to disclose beneficial ownership to the registry and the registered agent.

Privacy, the UBO Register and Transparency Standards
Shareholder and director details are not published in a publicly searchable commercial register in Belize, which is a genuine commercial privacy advantage. It does not mean nobody knows: beneficial ownership information is held by the registered agent, reported to the registry and available to competent authorities.
Belize also participates in automatic exchange of financial account information under CRS and FATCA, and the tax authority operates a dedicated exchange-of-information portal. - Choosing a high authorised capital: going above the 50,000 threshold moves the incorporation fee from USD 150 to USD 1,000.

- Keeping no books: accounting records must be retained for at least five years, and their absence also damages the banking relationship.
- Skipping the substance test: building a holding, financing or IP structure without checking included-entity status undermines the expected exemption.
- Leaving banking to the end: banks ask for more detail than the registry; plan both together.
- Ignoring home-country duties: forming a Belize company does not remove reporting obligations where you are tax resident.
- Entering licensed activities: banking, insurance and fund management require separate licences, and so does using those words in the company name.
