What Is Estonian e-Residency?

e-Residency is a digital identity issued by the Estonian state. It lets you log in to Estonia's e-government portals, sign documents digitally and manage your company remotely. An important distinction: e-Residency is not Estonian citizenship, a residence permit or a visa. It only grants digital transaction rights.

e-Residency applications and digital identity documents are administered exclusively by the relevant Estonian government authorities. The e-Residency Application Process

The application is fully online and you submit it yourself. Using the official e-Residency portal, you create the request in your own name with a passport copy and a biometric photo; the Estonian authorities then carry out the background check. You collect the approved card in person from your chosen pick-up point (an Estonian embassy/consulate or designated centre). The €150 state fee is paid by you directly through the official portal, and there is no annual or maintenance fee for the digital ID card. Which Company Types Can You Register in Estonia?

The Estonian Commercial Code allows several company types, but the OÜ is by far the most common and practical choice for international entrepreneurs.

OÜ — Private Limited Company (Most Popular)

The OÜ (Osaühing) is a limited-liability structure; shareholders' personal liability is limited to their contributed capital. Since the February 2023 reform, the statutory minimum share capital has effectively been removed, with a minimum nominal value of €0.01 per share. It can be formed with one or more shareholders and managed entirely online.

AS — Public Limited Company

The AS (Aktsiaselts) suits larger structures aiming to raise investment. It requires minimum registered capital of €25,000 and a multi-tier governance structure (management board plus supervisory board).

Other Structures: FIE, TÜ, UÜ and Branches

For sole operators with a physical presence, the FIE (sole proprietorship) exists but carries unlimited personal liability, so it is rarely chosen by international digital founders. General partnerships (TÜ) and limited partnerships (UÜ) serve multi-partner setups. A foreign company can also open a branch in Estonia, though this usually brings more administrative burden than forming a new OÜ.

Company Formation Process in Estonia — Step by Step

Once your e-Residency card arrives, the process runs in the following order:

  1. OÜ registration: Registration is completed through the e-Business Register, the online portal of the Estonian Commercial Register. You enter the company name, field of activity (EMTAK code), shareholder and ultimate beneficial owner (UBO) details, and appoint a contact person in Estonia. The process is usually completed within 1 business day.
  2. Legal address (virtual office): Every company must hold a registered address in the country. A virtual office covers this requirement together with mail handling.
  3. Bank / fintech account: For non-resident companies, Wise Business or Revolut Business is often the more practical starting point. You obtain an EU IBAN, and Stripe/PayPal integration works seamlessly.
  4. Accounting setup: Companies must prepare annual financial statements and file tax returns. These can be managed remotely.
  5. VAT registration (if required): VAT registration becomes mandatory once annual turnover exceeds the €40,000 threshold. Early registration may be worth considering for intra-EU B2B sellers.

Required documents: a valid passport/ID copy, e-Residency approval, company name and activity declaration, UBO details and Estonian contact-person information. Some banks/fintechs may additionally request a business plan and video/KYC verification.

To be honest: opening an account with traditional Estonian banks (LHV, Swedbank) has become noticeably harder in recent years for companies without a physical office or local staff in the country. These banks now look for a genuine "Estonian connection".

The practical solution usually comes from fintech platforms. With Wise Business and Revolut Business you can apply for an account with an EU IBAN; if approved, you can transfer funds in EUR/GBP/USD and issue a business card. These accounts are generally sufficient for Stripe and PayPal registration. Which fintech fits your company depends on your field of activity and monthly transaction volume.

Virtual Office in Estonia

There is no obligation to open a physical office to form a company in Estonia; however, every company must have a registered address in the country. A virtual office covers the legal-address requirement while also providing mail handling and, when needed, meeting-room access.
